Terms of Use

The terms governing your use of this website and any quotations issued by Primaron.

1. Acceptance

By accessing primaron.com or submitting a request for quotation, you agree to these Terms of Use. If you do not agree, do not use the site or submit inquiries.

2. Nature of Services

Primaron is an industrial procurement and engineering-support firm. We source OEM-grade tools, equipment, and technical materials from U.S. manufacturers and authorized distributors and coordinate logistics into West African markets. We are not the manufacturer of any goods supplied unless expressly stated in writing.

3. Quotations & Orders

  • Quotations are valid for the period stated on the quote and are subject to OEM pricing, stock availability, and currency fluctuation.
  • No contract is formed until Primaron issues a written order acknowledgment or proforma invoice and the agreed payment milestone is received.
  • Lead times are estimates based on OEM information and may change due to manufacturing capacity, freight availability, or force majeure events.
  • Unless otherwise stated, prices are quoted in USD and exclude duties, taxes, port charges, and destination clearance fees.

4. INCOTERMS, Title & Risk

Delivery, title, and risk transfer per the INCOTERMS 2020 designation specified on each order (e.g., EXW Houston, FOB Houston, CIF Lagos/Tema/Dakar/Abidjan). Inspection requirements (SONCAP, GCNet, COTECNA, VOC) are the buyer's responsibility unless explicitly included in scope.

5. Payment Terms

Standard terms are advance payment or irrevocable letter of credit confirmed by a U.S. bank, unless other terms are agreed in writing. Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. Goods remain Primaron's property until payment is received in full.

6. Export Control & Sanctions Compliance

All sales are subject to U.S. Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR) where applicable, and U.S. Treasury OFAC sanctions. Buyer warrants that goods will not be re-exported, diverted, or used in violation of these laws and will provide end-user/end-use statements upon request. Primaron may decline or cancel any order that, in its reasonable judgment, would breach applicable trade-control laws.

7. Anti-Bribery & Anti-Corruption

Both parties shall comply with the U.S. Foreign Corrupt Practices Act (FCPA), the UK Bribery Act, and equivalent local laws in the destination country. No facilitation payments or improper benefits may be offered, paid, or accepted in connection with any order placed through Primaron.

8. Warranties

Goods carry the manufacturer's standard warranty only. Primaron passes through all OEM warranties to the buyer to the extent assignable and assists with warranty claims. Except for the foregoing, Primaron disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, Primaron's aggregate liability arising out of or related to any order shall not exceed the amount paid by the buyer for the specific goods or services giving rise to the claim. In no event shall Primaron be liable for lost profits, lost production, downtime, or any indirect, incidental, special, or consequential damages.

10. Force Majeure

Primaron is not liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, civil unrest, government action, port closures, strikes, pandemics, or OEM production stoppages.

11. Confidentiality & Intellectual Property

Specifications, drawings, and pricing exchanged between the parties are confidential. All content on this website — including text, graphics, logos, and the Primaron name — is the property of Primaron and may not be reproduced without written consent.

12. Governing Law & Dispute Resolution

These Terms and any order issued under them are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. Disputes shall be resolved by binding arbitration in Houston, Texas, under the rules of the International Chamber of Commerce (ICC), in English. The U.N. Convention on Contracts for the International Sale of Goods (CISG) is excluded.

13. Changes

Primaron may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date.
